Signing of Purchase Contract for 45 % of Moja Naložba

Pursuant to the Rules of the Ljubljana Stock Exchange, d.d., Ljubljana and the Market in Financial Instruments Act, Pozavarovalnica Sava, d.d., Dunajska 56, Ljubljana (Sava Reinsurance Company), hereby announces the following: 

On 16 December 2015, Sava Reinsurance Company, as the purchaser, and Nova KBM, d.d., as the seller, signed a purchase contract for 6,795 shares of the pension company Moja naložba pokojninska družba, d.d., representing 45 percent of all issued shares of the pension company.

The contract has been concluded subject to suspensive conditions relating to relevant approvals from the Insurance Supervision Agency and the Competition Protection Agency.

After the acquisition of this stake and subject to meeting the suspensive conditions, the Sava Re Group companies (the actual holders of the shares of Moja naložba pokojninska družba) will become the owners of 100 percent of the pension insurer.

Nova KBM's divestment relating to Moja naložba is part of the Nova KBM Group's consolidation and restructuring strategy of greater focus on its core banking business.
