Ownership transformation

Sava Re was established under the name Pozavarovalna Skupnost Sava (Reinsurance Community Sava) in 1977. At that time, most companies were socially owned, while private ownership was allowed only in small trade. Large-scale private ownership was reintroduced in 1989 when Slovenia adopted a Western corporate model. In 1990 when the Reinsurance Community Sava, like other insurance communities in Slovenia, transformed into a delniška družba (d.d. - joint-stock company), some of the capital was contributed by private entities.

While most other branches of industry were privatised under a general law passed in 1992, the insurance industry was to undergo ownership transformation under a special law, the Ownership Transformation of Insurance Companies Act, which came into force in 2002. A major objective of the law was to determine how non-nominated capital (capital without a beneficiary) should be transformed into either state-owned capital or private capital. In order to do so, it was necessary to set down a ratio between non-nominated capital and nominated capital (capital with known shareholders). In 2003 the portion determined as non-nominated capital (99,8665%) was transferred to the Slovenska odškodninska družba - SOD (Slovenian Restitution Fund).

In 2008, Sava Re underwent an initial public offering, from which the Slovenian Restitution Fund emerged as owner of 25% + 1 share of Sava Re. The Company went public and is now listed on the Ljubljana Stock Exchange.

June 2008 Completion of initial public offering of Sava Re shares; the POSR share is floated on the Ljubljana Stock Exchange.
April 2003 Legal results of the ownership transformation are entered in the register at the District Court of Ljubljana.
Subscribed capital is increased to SIT 7.862.519.000.
March 2003 Government Decision determines the portion of non-nominated capital in Sava Re at 99,8665%. The Slovenian Restitution Fund becomes the owner of shares issued for the social capital.
Private owners hold 0,1335% of the capital.
May 2002 New version of the OTICA comes into force.
May 2001 The OTICA is suspended by the Constitutional Court and is being rewritten.
March 2000 The Ownership Transformation of Insurance Companies Act (OTICA) is passed by Parliament.
